VendingData Signs Stock Deal - Monday 3rd of April 2006

LAS VEGAS – VendingData(TM) Corporation(Amex: VNX), announced today that it has entered into agreements for an $18million private placement of common stock and debt.

Pursuant to a definitive Note Purchase Agreement entered into between theCompany and four investment funds managed by Bricoleur Capital Management, ofSan Diego, California, the Bricoleur funds have agreed to purchase $7 millionof 7% senior debt due March 31, 2011 with 1.6 million detachable warrantsexercisable for 5 years at $2.50 per share.

Pursuant to a separate definitiveagreement entered into between the Company and the four Bricoleur funds, theBricoleur funds have agreed to purchase up to $5 million of the Company'scommon stock, from time to time at the Company's option, at a purchase priceequal to 80% of the volume- weighted average price of VendingData(TM) stock onthe day of draw down, but not to exceed a share price of $3.50. The Companyhas also reached an agreement in principle, and expects to reach a definitiveagreement within the next week, for the placement of 2.4 million common sharesat a price of $2.50 per share for the gross proceeds of $6 million. Theplacements are expected to close in April 2006.

Of the aggregate $18 million of net proceeds, approximately $5 millionwill be used to retire the Company's current credit line and approximately$6 million will be used to pay off all of the Company's senior secured debt.The remainder of the funds available from the offering will be used forgeneral corporate purposes. The Company's remaining $6 million of convertibledebt is expected to be converted to equity at the terms included in the Noteof $1.65 per share. As of March 30, 2006, the Company has approximately 19million shares outstanding and approximately 35 million fully diluted.
